Overview:
We are seeking a mid-senior level to support the company's international growth and strategic investment activities. The successful candidate will play a key role in advising on cross-border M&A, joint ventures, strategic investments, commercial transactions, and other international business initiatives. This position requires close collaboration with internal teams and external counsels across multiple jurisdictions.
Key Responsibilities:
Ø Cross-Border M&A and Investments
Lead or support legal workstreams for cross-border mergers, acquisitions, divestitures, joint ventures, minority investments, and strategic partnerships.
advise business teams at the early stages of potential projects on transaction structures, regulatory considerations and legal implications.
Manage legal due diligence processes, identify key legal risks, and provide practical risk assessments and mitigation strategies.
Draft, review, negotiate, and execute transaction documents.
Coordinate with external counsel in various jurisdictions and manage legal budgets and deliverables.
Ø General Corporate Support
Draft, review, and negotiate a broad range of commercial agreements.
Provide day-to-day legal support to business stakeholders on contractual, corporate, compliance, and operational matters.
Education, skills and qualities
LL.B. degree or above from a reputable law school; overseas education experience is preferred.
4-8 years of post-qualification legal experience.
Proven experience in cross-border M&A, private equity, venture capital, joint ventures, and/or other complex corporate transactions.
Prior experience at a law firm is required; in-house legal experience is a plus.
Fluent in English, with excellent drafting and communication skills.
Strong analytical, negotiation, and interpersonal skills.
Ability to work both independently and collaboratively in a fast-paced, multicultural environment.
