To support its continued commitment to corporate governance, regulatory compliance and operational excellence, they are seeking a seasoned Company Secretarial professional to join the team.
About the Role
Reporting to the Company Secretariat leadership team, you will play a key role in supporting board governance, statutory compliance and corporate secretarial matters across a portfolio of listed and private entities. This is an excellent opportunity for a detail-oriented professional who enjoys working in a structured, governance-focused environment while driving process improvement and digitalisation initiatives.
Key Responsibilities
Handle a full range of company secretarial and corporate governance duties for listed and private group entities
Coordinate board meetings, board committee meetings and shareholders' meetings, including preparation of meeting materials and minutes
Assist in the preparation of annual reports, interim reports, announcements, circulars and regulatory disclosures
Monitor compliance with relevant regulatory requirements and corporate governance standards
Maintain statutory records, registers and filings in accordance with applicable regulations
Support compliance-related projects and liaise with external advisors, regulators and internal stakeholders when required
Drive process enhancement initiatives, including the adoption of technology, AI and automation tools to improve efficiency and governance processes
Participate in ad hoc corporate projects and assignments
Requirements
Degree holder in Corporate Governance, Business Administration, Law, Accounting or related disciplines
Associate Member of HKCGI / CGI preferred
Minimum 5 years of company secretarial experience gained from listed companies, professional firms or sizeable corporate organisations
Solid knowledge of Hong Kong Listing Rules, Companies Ordinance and Securities & Futures regulatory requirements
Exposure to listed company governance and regulatory filings is highly preferred
Strong interest in digital transformation, AI applications and process automation
Excellent communication skills in both English and Chinese
Organised, detail-minded and able to manage multiple priorities in a fast-paced environment
Proactive, mature and capable of working independently
